1. Introduction and acceptance

This End User License Agreement ("Agreement" or "EULA") is a legal agreement between you ("you," "Licensee," or "Customer") and Lean Squid srls ("Jaytail," "Licensor," "we," "us," or "our") governing your installation and use of the Jaytail software.

Jaytail is a software utility for viewing, searching, filtering, inspecting, exporting, and, where supported by the licensed edition, securely transferring structured log files.

By accepting this Agreement during purchase or installation, or by using the Software after being presented with and accepting these terms, you agree to be bound by it.

If you are accepting this Agreement on behalf of a company or other organization, you represent that you have the authority to bind that organization.

If you do not agree to these terms, do not install or use the Software. Any applicable statutory withdrawal or refund rights remain unaffected.

This Agreement applies to commercially licensed versions of Jaytail. Software components expressly provided under separate licenses remain governed by those licenses.

2. Definitions

For the purposes of this Agreement:

Software means the Jaytail executable programs, associated interfaces, documentation, and updates provided by the Licensor under this Agreement.

Minimal Edition means the edition of Jaytail providing local log viewing, inspection, search, filtering, and export functionality without peer-to-peer transfer functionality.

Complete Edition means the edition of Jaytail including the functionality of Minimal Edition together with supported peer-to-peer log transfer capabilities.

License means the right to use a particular edition and version of the Software under the conditions of this Agreement.

Authorized User means the individual person entitled to use the Software under a valid License.

Standard License means a perpetual license covering the purchased major.minor version of the Software and its corresponding patch updates.

Lifetime License means a license covering the purchased edition and future releases of the same Jaytail product line, as described in Section 5.

Order means the purchase confirmation, invoice, or other written record identifying the edition, license type, quantity, and applicable purchase conditions.

Network Services means optional network infrastructure operated or arranged by the Licensor to facilitate certain Software features, including peer-to-peer connection establishment and relay-assisted file transfers.

3. License grant

Subject to payment of any applicable license fee and compliance with this Agreement, the Licensor grants you a limited, non-exclusive, worldwide right to install and use the licensed Software.

3.1 Individual licenses

Unless your Order specifies otherwise, an individual License entitles one Authorized User to:

  • Install and use the Software on multiple computers under that user's control, including personal computers, laptops, and workstations.
  • Use the Software for personal, educational, professional, and commercial purposes.
  • Use the Software on supported operating systems for which compatible binaries are provided.
  • Make reasonable backup copies of the Software and retain copies of the applicable license information.

An individual License is assigned to a person, not to a particular computer. It may not be shared among multiple simultaneous users.

3.2 Organizational licenses

Companies and organizations may purchase multiple Licenses for their employees or contractors.

Unless otherwise agreed in writing, each purchased License entitles one Authorized User to use the Software.

An organization may reassign a License when an employee or contractor leaves or no longer requires access, provided the previous user ceases using that License.

Additional deployments, site-wide licensing, or other organizational arrangements may be established through a separate written agreement.

3.3 Ownership

The Software is licensed, not sold as intellectual property.

You receive the right to use the Software as described in this Agreement. The Licensor and its licensors retain all intellectual property rights in the Software, its source code, design, documentation, trademarks, and related materials.

Nothing in this Agreement restricts ownership of your log files or other data processed using Jaytail.

4. Software editions and functionality

4.1 Minimal Edition

The Minimal Edition provides the supported local log investigation capabilities of Jaytail, including its terminal interface and local browser interface, where available in the relevant version.

The Minimal Edition does not include the Software's peer-to-peer transfer functionality.

4.2 Complete Edition

The Complete Edition includes the capabilities of the Minimal Edition and the peer-to-peer transfer functions provided in the applicable release.

These functions may include encrypted file transfers, transfer tickets, QR-code-based ticket exchange, transfer resumption, and relay-assisted connectivity.

Specific functionality is determined by the documentation and product description applicable at the time of purchase.

4.3 Evaluation and no-cost functionality

The Licensor may provide trial versions, evaluation licenses, or selected functionality without charge.

Any applicable trial duration or feature limitations will be disclosed when the evaluation version is made available.

Where the Licensor makes receiving transferred files available without a paid Complete License, such use is authorized within the scope and limitations of that functionality.

The availability of evaluation or no-cost functionality does not grant rights to paid functionality beyond those expressly provided.

5. Perpetual licenses, updates, and upgrades

5.1 Perpetual use

All purchased Jaytail Licenses grant a perpetual right to use the Software versions covered by the License, subject to compliance with this Agreement.

A perpetual License does not expire merely because a newer version becomes available.

No recurring subscription payment is required to continue using an already licensed version.

5.2 Standard License version entitlement

A Standard License covers the specific major.minor version identified in the Order and all patch releases made available for that version line.

For example, a License purchased for version 1.4 includes the right to use versions 1.4.0, 1.4.1, 1.4.2, and subsequent 1.4.x patch releases.

It does not automatically include versions 1.5, 1.6, 2.0, or other releases outside the purchased major.minor version line.

Access to new minor or major versions may require purchasing an upgrade License.

Upgrades are optional. Declining an upgrade does not invalidate an existing License.

5.3 Patch updates

Patch updates may include bug fixes, security improvements, compatibility fixes, and other maintenance changes.

The Licensor may determine how to classify and release new functionality, provided version classification is not used to circumvent any applicable statutory obligations.

The inclusion of patch updates does not constitute a promise that every version line will receive new releases indefinitely.

Nothing in this section limits updates, including security and conformity updates, that the Licensor is required to provide under applicable law.

5.4 Paid upgrades

The Licensor may offer paid upgrades to newer versions at prices published at the time of purchase.

Purchasing an upgrade extends the License to the versions specified in the new Order.

An upgrade will not be charged automatically. Any purchase requires the Customer's authorization.

The Licensor may offer discounts to existing customers but is not required to maintain a particular discount unless expressly agreed.

5.5 Lifetime License

Where offered, a Lifetime License includes:

  • Perpetual use of the purchased Jaytail edition.
  • Access to future minor and major releases of the same Jaytail product line for as long as those releases are produced and commercially made available.
  • Patch updates associated with those releases.
  • No additional Software-version upgrade charges for releases covered by the Lifetime License.

For a Complete Lifetime License, the entitlement includes future versions of Jaytail Complete and their corresponding functionality.

"Lifetime" refers to the commercial lifetime of the Jaytail product line, not the lifetime of the Customer or a guaranteed number of years.

A cosmetic product rename or branding change alone does not remove the entitlement to releases that substantially continue the same product.

The Lifetime License does not automatically include separately developed products, independently sold services, dedicated hosting, premium support contracts, or other offerings that are not part of the Jaytail product line.

A Lifetime License covers software-version upgrades. It does not guarantee perpetual availability, unlimited bandwidth, or unlimited use of infrastructure operated by the Licensor.

5.6 Continued use and availability

The Licensor will not disable an otherwise valid perpetual License solely because the Customer declines to purchase a newer version.

Customers may retain reasonable archival copies of the Software versions they are licensed to use.

The Licensor will make reasonable efforts to facilitate continued access to licensed releases and replacement license credentials, subject to verification of purchase and applicable law.

6. Peer-to-peer transfers and Network Services

6.1 General operation

Certain versions of Jaytail permit users to transfer log files directly between devices using encrypted peer-to-peer connections.

Transfers are initiated explicitly by the user.

Connections may operate directly between participating devices or, when necessary and supported, through relay infrastructure.

Relay-assisted transfers forward encrypted network traffic between participants. The relay is not intended to decrypt or store the transferred file contents.

6.2 Transfer tickets and access

The Software may use transfer tickets containing information required to establish a connection and authorize receipt of a file.

You are responsible for protecting these tickets and sharing them only with intended recipients.

A person who obtains a valid transfer ticket may be able to receive the corresponding file during the period in which the transfer is available.

The Licensor cannot guarantee the identity or trustworthiness of a recipient solely because that recipient possesses a valid ticket.

6.3 Data and network exposure

Peer-to-peer connectivity may reveal network addresses or connection information to participating peers.

Relay infrastructure may process connection metadata such as IP addresses, endpoint identifiers, connection timing, and transferred data volume.

Options intended to reduce direct IP-address exposure may be provided, but they do not eliminate all metadata exposure to network operators or infrastructure providers.

Transferred files may contain confidential information, credentials, or personal data. Jaytail does not automatically guarantee the detection or removal of such information.

You are responsible for reviewing files before sharing them and ensuring that you have the necessary rights and permissions to transmit their contents.

6.4 Transfer integrity and limitations

The Software may provide integrity verification, reconnection, and transfer resumption features.

A file may be available for inspection while a transfer is still in progress. Final integrity verification may occur only after the complete transfer has been received.

Network conditions, firewalls, remote-device availability, operating-system restrictions, and other circumstances may prevent or interrupt transfers.

The Licensor does not guarantee that any particular peer-to-peer connection or transfer will succeed.

6.5 Availability of relay infrastructure

The Licensor may operate or arrange relay infrastructure to facilitate transfers.

Access to Licensor-operated relays is provided subject to reasonable technical, capacity, security, legal, and fair-use limitations.

The Licensor may apply reasonable rate limits, traffic limits, abuse-prevention measures, or temporary restrictions necessary to maintain the service.

The Licensor may modify, relocate, replace, suspend, or discontinue relay infrastructure for legitimate operational, security, legal, or commercial reasons, subject to applicable law and reasonable advance notice where practicable.

A perpetual Software License does not create an unlimited or perpetual entitlement to hosted Network Services.

Any separately purchased Network Services will be governed by their stated service terms.

6.6 Acceptable use

You must not use the transfer functionality to:

  • Transmit data unlawfully or without the necessary authorization.
  • Infringe intellectual property, privacy, confidentiality, or other rights.
  • Distribute malware or other intentionally harmful content.
  • Interfere with the security, availability, or normal operation of relay infrastructure.
  • Circumvent reasonable technical protections or usage limitations.
  • Engage in activities prohibited by applicable law.

The Licensor may temporarily restrict access to Network Services when reasonably necessary to investigate or prevent abuse or security threats.

Such restrictions do not automatically terminate your right to use licensed local Software functionality.

7. Privacy and data ownership

7.1 Local processing

Jaytail is designed primarily for local processing of log files.

Ordinary local viewing, searching, filtering, and exporting do not require uploading log contents to a cloud storage or analysis service operated by the Licensor.

The local browser interface is intended to be accessed through a loopback connection on the user's computer.

7.2 User data

You retain ownership and control of the log files and other data you process using the Software.

The Licensor does not acquire ownership of such content.

When you initiate a transfer, you authorize the technical transmission of the selected data to the intended receiving device through the applicable network path.

7.3 Personal information

The Licensor may process information needed for purchasing, license administration, customer support, security, and provision of optional Network Services.

Any processing of personal data by the Licensor is subject to its separately published Privacy Notice, available at:

https://jaytail.dev/legal/privacy/

The Privacy Notice should describe applicable categories of personal data, purposes, legal bases, retention periods, recipients, international transfers where relevant, and data-subject rights.

Nothing in this Agreement reduces the Licensor's obligations under applicable data-protection law.

8. Permitted and prohibited uses

Except where expressly authorized by this Agreement or permitted by applicable law, you may not:

  1. Distribute, sublicense, rent, lease, or otherwise provide unauthorized copies of the commercially licensed Software to others.
  2. Share a single-user License among multiple users.
  3. Publish, sell, or distribute license keys or activation credentials without authorization.
  4. Circumvent licensing mechanisms to obtain functionality for which you do not hold a valid entitlement.
  5. Remove or misrepresent copyright, trademark, or proprietary notices.
  6. Use the Software or Network Services for unlawful activities.

You may not reverse engineer, decompile, or disassemble proprietary Software except to the extent expressly permitted by applicable law, including rights relating to interoperability, error correction, and lawful security research.

Nothing in this Agreement restricts rights granted under applicable third-party software licenses or rights that cannot lawfully be waived by contract.

9. Intellectual property and third-party components

Jaytail and its associated branding are the intellectual property of the Licensor or its licensors.

The Software may include libraries, frameworks, and other components distributed under separate licenses.

Where a third-party license grants rights that differ from this Agreement, that license governs the relevant component to the extent required by its terms.

Applicable third-party license notices will be provided with the Software or through accompanying documentation.

No rights to Jaytail trademarks, logos, or branding are granted beyond those necessary to identify the Software and its legitimate use.

10. Support and maintenance

The Licensor may provide documentation, bug fixes, compatibility improvements, and technical support through channels identified on the Jaytail website.

Unless separately agreed:

  • No guaranteed response or resolution time is included.
  • No service-level agreement applies to the Software or Network Services.
  • Feature development and release schedules remain at the Licensor's discretion.
  • Support for legacy operating systems or obsolete versions may be limited.

These provisions do not exclude any maintenance, security-update, conformity, or support obligation imposed by applicable law or expressly promised at the time of purchase.

The Licensor may publish an additional support policy identifying supported versions and maintenance periods.

11. Purchases, payments, and refunds

11.1 Prices and payment

License prices are those displayed and accepted at checkout.

Prices, taxes, payment methods, and any available discounts are determined by the applicable Order.

Payments may be processed by an authorized third-party merchant of record or payment provider. The identity of the seller and any applicable purchase terms will be disclosed during checkout.

11.2 One-time purchases

A Standard License or Lifetime License is purchased through a one-time payment, unless the Customer explicitly purchases a separate recurring service.

The Licensor will not automatically charge Customers for optional Software upgrades.

11.3 Refunds

Refund requests are handled in accordance with the applicable refund policy, the terms disclosed at purchase, and mandatory consumer-protection law.

For consumers who have a statutory right of withdrawal, that right applies unless and until a legally valid exception has been established.

Where applicable law permits the loss of a withdrawal right for immediately delivered digital content, any required prior express consent, acknowledgment, and confirmation must be obtained through the purchase process.

Nothing in this Agreement limits statutory rights to remedies for defective or nonconforming digital content.

11.4 Effect of refunds

Where a purchase is lawfully refunded and rescinded, the corresponding paid License entitlement may end, subject to applicable law.

12. Warranty and consumer rights

12.1 Commercial users

For Customers acting in a business or professional capacity, the Software and Network Services are provided with the warranties expressly stated in this Agreement and any applicable Order.

To the maximum extent permitted by law, other warranties are excluded, including implied warranties of merchantability, fitness for a particular purpose, and uninterrupted or error-free operation.

The Licensor does not warrant that the Software will identify every relevant log event, detect every sensitive value, or prevent every security incident.

12.2 Consumer users

Consumers retain all mandatory statutory rights relating to digital content, including applicable rights concerning conformity, security updates, remedies, and refunds.

Where the Software does not conform to applicable statutory requirements, consumers may be entitled to correction, a price reduction, termination, or other remedies provided by law.

Nothing in this Agreement excludes or restricts those rights.

12.3 No guarantee of uninterrupted operation

Software performance may depend on operating systems, terminal emulators, browsers, storage devices, network connections, and other third-party systems.

The Licensor does not guarantee compatibility with every environment or uninterrupted availability of optional Network Services.

This limitation is subject to the product descriptions and mandatory legal protections applicable to the purchase.

13. Limitation of liability

13.1 Business customers

To the maximum extent permitted by applicable law, the Licensor will not be liable for indirect, incidental, special, or consequential losses arising from the use or inability to use the Software, including lost profits or business interruption.

For Customers acting in a business or professional capacity, the Licensor's aggregate liability arising under this Agreement will not exceed the greater of:

  • The total amount paid by the Customer for the License or Licenses giving rise to the claim; or
  • US $100 (or the equivalent in local currency).

13.2 Exceptions

Nothing in this Agreement excludes or limits liability where doing so would be unlawful, including liability for fraud, willful misconduct, death or personal injury where legally applicable, or other liability that cannot lawfully be excluded or limited.

Nothing in this Agreement limits mandatory consumer remedies or statutory liability beyond what applicable law permits.

13.3 User-controlled content

You are responsible for your decisions to copy, export, disclose, or transmit log contents, including decisions concerning sensitive information and transfer-ticket distribution.

This does not exclude liability that the Licensor may independently have for defects, security failures, or breaches of its legal obligations.

14. License transfers

An individual or organizational License may be permanently transferred where permitted by applicable law or expressly authorized by the Licensor.

A valid transfer requires the previous Licensee to cease using the transferred License and to remove retained usable copies, except where retention is legally permitted.

The Licensor may provide reasonable administrative procedures for recording transfers and issuing replacement license credentials.

Nothing in this section restricts mandatory rights concerning resale or transfer of lawfully acquired software.

15. Duration and termination

15.1 Duration

A purchased License remains effective perpetually unless terminated in accordance with this Agreement or applicable law.

Expiration of an evaluation period or the availability of a newer version does not terminate a previously purchased perpetual License.

15.2 Termination for breach

The Licensor may terminate a License if the Licensee commits a material breach of this Agreement and fails to remedy that breach within 30 days after receiving written notice describing the breach, where the breach is capable of remedy.

Immediate action may be taken where reasonably necessary to address serious security threats, fraud, or unlawful conduct, subject to applicable law.

15.3 Consequences of termination

Following lawful termination of a License, the Licensee must cease using the affected commercially licensed Software and remove copies for which the Licensee no longer has authorization.

Termination does not affect rights accrued before termination, independently licensed components, or mandatory statutory rights.

15.4 Customer termination

A Customer may stop using the Software at any time.

Ceasing use does not automatically create a right to a refund, without prejudice to applicable consumer rights and published refund policies.

16. Changes to the Software and Agreement

The Licensor may improve, modify, and release new versions of the Software.

Changes to future releases do not automatically alter the conditions of a previously purchased perpetual License.

A materially revised EULA will apply to an existing License only where the Customer validly accepts it or applicable law permits the change.

The Licensor may separately update terms governing optional Network Services where reasonably necessary. Material changes will be communicated with reasonable notice where practicable, and any applicable legal rights will be respected.

17. Compliance with laws

You agree to use the Software in accordance with applicable laws, including those concerning privacy, confidentiality, intellectual property, data security, and export controls.

You are responsible for ensuring that any log data you share may lawfully be disclosed to the intended recipients.

This section does not transfer to you any legal compliance responsibilities that properly belong to the Licensor.

18. Governing law and dispute resolution

This Agreement is governed by the laws of Italy, excluding conflict-of-law principles to the extent legally permissible.

For business Customers, disputes arising under this Agreement will be subject to the competent courts of Padova, unless otherwise required by applicable law.

For consumers, this choice of law and jurisdiction does not deprive them of mandatory protections or access to courts available under applicable consumer-protection and private international law.

Before initiating formal proceedings, the parties are encouraged to attempt to resolve disputes through direct communication in good faith.

19. General provisions

Entire agreement. This Agreement, together with the applicable Order and any expressly incorporated terms, constitutes the agreement governing the licensed Software.

Severability. If any provision is held invalid or unenforceable, the remaining provisions remain effective to the extent permitted by law.

No waiver. Failure to enforce a provision on one occasion does not constitute a waiver of the right to enforce it later.

Assignment. The Licensor may transfer this Agreement as part of a legitimate business transfer or restructuring, subject to applicable law and preservation of existing Customer rights.

Language. This Agreement is prepared in English. Any translated version will have the legal effect required by applicable law, and no language-precedence clause will override mandatory consumer protections.

Survival. Provisions relating to intellectual property, accrued obligations, applicable limitations of liability, and dispute resolution survive termination where legally appropriate.
